Chapter 5

"Oakhaven Partners," Adaeze repeated. Her voice cut through the quiet office. "They are going to bail him out before our trap even sets."

I stared at the glowing screen of her phone. I did not reach for my coffee. I did not frown.

I smiled.

"They aren't bailing him out," I said. I pushed the device back across the glass desk. "They are digging his grave deeper."

Adaeze crossed her arms. "Oakhaven has the sharpest due diligence team in the city, Sabine. If they lead this roadshow, they will restructure that debt before they sign a single term sheet. They will see the trap."

"They won't read it in time," I replied. I stood up and walked around the desk. "Because Theo buried the trigger."

I walked over to the interactive display board mounted on the far wall. I tapped the screen, pulling up the full seventy-five-page expansion loan contract from the secure server.

"Look at Section Eight," I told her. I dragged my finger across the glass, highlighting a dense block of text in bright yellow. "The earn-out provision."

Adaeze stepped closer. Her eyes scanned the legal jargon rapidly. "It just says the management retains voting rights if post-acquisition targets are met. Standard performance metric."

"Keep reading. Down to subsection C."

I grabbed a dry-erase marker from the tray. The plastic cap snapped off with a sharp crack.

"If revenue drops below the agreed threshold within twelve months post-acquisition," I said, drawing a harsh line under the clause on the adjacent whiteboard, "the control clause triggers in reverse."

Adaeze stopped reading. She turned her head and looked at me.

"A reverse trigger," I clarified. "The original management doesn't just lose their year-end bonus. They get forcefully diluted. Their equity converts to non-voting shares to compensate the lender for the valuation drop."

I moved fully to the whiteboard. I drew a quick, aggressive flowchart.

"Theo thinks this loan is just a high-interest stopgap," I said. My marker squeaked loudly against the slick white surface. "Oakhaven will see the roadshow numbers and assume Calvert is healthy enough to clear the threshold. But they don't know about the shipping contract opt-out. They don't know the revenue is about to fall off a cliff."

"And his new legal team?" Adaeze challenged. "The outside counsel he bragged about hiring?"

"They are outsiders," I reminded her. "They don't know the operational history. Nine years ago, Theo nearly lost his father's first warehouse because he didn't check a zoning covenant. I spent three days negotiating a settlement to save his skin. He never reads the definitions section. He only looks at the zeros. He sees seventy-five million dollars and signs."

I drew a downward arrow on the board. I wrote a percentage at the bottom and circled it twice.

"Forty percent," I said. I tapped the circle with the plastic tip of the marker. "The second Calvert misses that Q3 target, the lender absorbs forty percent of the voting shares. Theo and the board get diluted into the minority."

Adaeze stared at the whiteboard. The tension in her shoulders vanished. A cold, calculating stillness took its place.

"Oakhaven will buy into the roadshow blind," she murmured. "They will fund the expansion, the shipping partner will walk, the revenue will crash, and Oakhaven will lose their investment while the private equity group seizes the company."

"Exactly," I said. "And that is when Veller Capital steps in. We buy the distressed debt from Oakhaven for pennies on the dollar. We let them fund Theo's rope, and then we pull the lever."

My phone vibrated against the wood grain of my desk.

I walked back and picked it up. The caller ID flashed Felix's name.

I answered and put him on speaker.

"Are you out of the building?" I asked.

"I am in the parking garage," Felix said. His voice echoed slightly over the line. "HR walked me to the elevator. But I scheduled a delayed email to my personal server before they locked my terminal."

"What did you pull?"

"The internal roadshow deck," Felix replied. "Sabine, they are cooking the books."

Adaeze stepped closer to the phone. "Define cooking."

"Theo ordered the accounting department to reclassify projected Q4 holiday shipments as realized Q2 revenue," Felix explained. "He is front-loading the ledgers to pad the current valuation for the Oakhaven pitch."

"Send the file to my encrypted address," I told him.

"Already done," Felix said. "He is going to present those numbers tomorrow morning. If Oakhaven buys in, Theo gets his cash injection."

"Let him present it," I said. "Thank you, Felix. Take the weekend off. I will call you on Monday about a position at Veller."

I ended the call and routed the incoming file to the wall display.

"What did he send?" Adaeze asked, watching the loading bar inch across the screen.

"The proof," I said. I opened the spreadsheet. "Look at these columns."

I scrolled through the manipulated ledgers. Every altered cell was highlighted in pale yellow. Felix had spent his last two hours at Calvert Industries downloading the unedited drafts before his credentials expired.

Adaeze let out a low whistle. "That is corporate fraud."

"That is desperation," I corrected. "Julian and Marcus want cash. Theo is giving them a mirage. He is so terrified of losing his new CEO title that he is falsifying the prospectus."

"If Oakhaven relies on these numbers, their due diligence is compromised from day one," Adaeze said. She closed her laptop with a sharp snap.

She leaned against the edge of the conference table. She fixed her dark eyes on me.

"Are you sure you can do this?" Adaeze asked.

"Do what?"

"Pull the trigger on your own husband," she clarified. "You spent nine years protecting that company. You built that legal department. Now you are plotting to dismantle the whole structure."

"I protected his father," I corrected her, keeping my voice entirely flat. "His father is gone. And my husband fired me to impress a board that despises him. I owe them nothing."

Adaeze watched my face for a long moment. She searched for hesitation, for regret, for any lingering loyalty to the man who had handed me divorce papers through his teenage son. She found nothing.

"You don't just want to participate in this deal, do you?" Adaeze asked. Her tone shifted from analytical to dangerous. "You want to lead it."

I opened my mouth to answer.

The heavy glass door of my office swung open.

A man in a charcoal suit walked in. Three other senior executives followed immediately behind him. I recognized the lead partner, Elias Thorne.

Elias didn't knock. He didn't offer a polite greeting. He carried a thick leather binder and dropped it directly onto the center of my desk.

"The emergency investment committee meeting has been moved up," Elias announced. His voice boomed in the quiet room.

He flipped the binder open.

The top page bore a bold, underlined heading reading CALVERT LOGISTICS ACQUISITION FEASIBILITY.
