Chapter 3

The executive boardroom on the forty-fourth floor of Vantage Peak Capital had an unobstructed view of the financial district. Glass, steel, and brushed chrome caught the late morning light.

"They'll have an associate team run through the standard questionnaire first," Sabrina murmured, smoothing the sleeve of her tailored cream jacket as we stepped past the glass doors. "Don't let them drag you into the weeds. When Grant Hayes walks in, we control the narrative."

I adjusted my cuffs and walked toward the center of the room.

A woman was already seated at the head of the twenty-seat conference table.

She wasn't a junior analyst.

Natalie sat upright, a thick stack of Mercer Dynamics internal dossiers neatly squared in front of her. She wore a sharp, charcoal-grey wool suit with clean lines. Her dark hair was gathered back in a low, polished knot. The five-carat diamond ring I had bought her during our third year was gone, along with every piece of designer jewelry my family had selected for her wardrobe.

Resting beside her tablet was a black lanyard with an engraved silver pass.

*Natalie Cole, Partner.*

The air left my chest.

Two years ago, she had walked out of our penthouse with a single suitcase and an uncashed settlement check. Now, she sat in the lead chair of a twelve-billion-dollar private equity fund with our company's survival resting on her desk.

Sabrina stopped in her tracks, her manicured fingers tightening around her leather portfolio.

"What is this?" I asked, taking two steps toward the table. My voice came out sharper than I intended. "You're working here?"

Natalie didn't flinch. She closed the tabbed folder she had been reviewing, looked up, and met my gaze without a flicker of emotion.

"Good morning, Ryan. Sabrina," Natalie said evenly. "Please have a seat."

I didn't sit. A surge of irritation burned through the shock.

"You spent two years vanishing from every industry circle just to pop up on a debt bridge diligence team?" I asked, resting both palms flat on the mahogany table. "So this is revenge?"

Natalie’s expression didn't shift.

"No," she said. "This is due diligence."

She pulled the top file from the stack and opened it, revealing three color-coded operational charts.

"Mercer Dynamics has thirty-eight days of operating cash remaining before default triggers across your primary credit facilities," Natalie began, her tone measured and clinical. "You came to Vantage Peak asking for a sixty-million-dollar emergency bridge loan to stay solvent through Q4. But your current financial structure makes institutional recapitalization impossible."

"Our revenue pipeline is up thirty percent year-over-year," Sabrina interjected, stepping up beside me and pulling out a chair. "If you actually understood enterprise tech scaling—"

"I understand your balance sheet, Sabrina," Natalie cut in, turning a page. "And your balance sheet is failing."

She pointed a pen at the first chart.

"Issue one: unchecked capital expenditure. Over the last eighteen months, Mercer Dynamics poured forty-five million dollars into two automated manufacturing facilities that are currently operating at thirty-two percent capacity. You expanded capacity before securing long-term purchase commitments."

She flipped to the second sheet.

"Issue two: toxic debt structure. You took on forty million dollars in floating-rate mezzanine debt to finance those facilities. Your interest payments increased by four hundred basis points in eighteen months. You financed long-term illiquid assets with short-term, variable credit."

Her voice remained entirely calm, but every word felt like a targeted strike.

"And issue three," Natalie continued, sliding a third document across the table toward Sabrina. "The proposed acquisition of Apex Logistics. You modeled a twenty-two percent return on investment to justify a fifteen-million-dollar purchase price. But your team excluded legacy pension liabilities and depreciation on their transport fleet. Factoring in those real costs, Apex is a net-negative cash drain from day one."

"Those projections were verified by outside advisors," Sabrina snapped, her cheeks flushing red. "Ryan's growth strategy required aggressive positioning."

"Ryan's growth strategy ignored basic cash coverage," Natalie replied.

"You're quoting risk factors that any standard turnaround handles," I said, cutting in before Sabrina could lose her temper. "Every high-growth company operates near the edge. You know how volatile this market was when we started."

Natalie didn't argue.

Instead, she turned the folder toward me and folded the cover back.

Pinned to the left side were the three original risk assessments she had drafted two years ago, right before our divorce. Beside them were the three corporate board authorizations I had signed six months later, overriding every single warning.

My signature was stamped in black ink at the bottom of every disastrous decision.

"I gave you the exact math on the mezzanine debt two years ago, Ryan," Natalie said quietly. "You told me I thought like a neighborhood bookkeeper. Then you signed the debt note anyway."

I stared down at my own signature.

The conference room felt suffocatingly quiet.

Natalie reached for a clean, blue-bound document and set it in front of me.

"Vantage Peak is prepared to issue the sixty-million-dollar rescue facility," she said. "Under strict restructuring terms."

I pulled the document closer, scanning the highlighted covenants.

"Condition One," Natalie stated. "Immediate divestiture and liquidation of the two underutilized assembly plants to pay down the senior floating debt. Condition Two: Complete cancellation of the Apex Logistics acquisition. Condition Three: Mercer Dynamics accepts an independent Chief Financial Officer appointed by Vantage Peak, with full unilateral veto power over capital expenditures exceeding fifty thousand dollars."

"You want me to gut our manufacturing capacity and surrender executive control?" I demanded, anger finally snapping my restraint. "That's not a restructuring. That's a takeover."

I flipped straight to the execution page at the back of the term sheet.

Printed at the bottom, under the line marked *Lead Underwriting Partner and Sole Approval Authority*, was one name:

*Natalie Cole.*

A harsh, incredulous laugh broke from my throat.

"This is absurd," I said, shoving the document back across the table. "You expect me to believe Vantage Peak lets an ex-wife hold sole discretionary approval over my company's financing? You have a massive, glaring conflict of interest. No investment committee in this city would allow you anywhere near this file."

Natalie didn't blink.

"My conflict was disclosed to the investment committee before you walked in," she said. "They reviewed the historical founding records, the intellectual property origins, and the current operational audits. They assigned me lead authority because nobody in this firm understands your operational vulnerabilities better than I do."

"I don't care what you disclosed," I said, standing up straight and glaring down at her. "You don't get to use a corporate desk to settle a personal grudge. Who gave you the authority to decide whether my company survives?"

The heavy latch of the boardroom door clicked open.

A tall, broad-shouldered man in a bespoke navy three-piece suit walked inside. Grant Hayes carried a single fountain pen and a thin leather folder. He didn't glance at the city view, and he didn't look at Sabrina.

He walked past me, stepped up beside Natalie, and placed a signed managing-partner endorsement slip directly on top of her binder.

He didn't take her seat. He didn't reach for her files. He simply rested one hand on the edge of the table behind her.

"I did," Grant said.

I stiffened, immediately shifting my posture. "Grant, good to see you. There seems to be a misunderstanding about how this diligence was structured. If we can sit down one-on-one and discuss the enterprise pipeline—"

Grant didn't even look at my portfolio.

He looked down at Natalie, giving her a brief, approving nod, before turning his gaze toward me.

"It’s Natalie’s deal," Grant said, his voice flat, authoritative, and final. "If you want our money, you negotiate with her."
